Coaching & Consulting Client Agreement

For Professional Coaching, Business Consulting, Strategy Calls, and Advisory Programs

This Coaching & Consulting Client Agreement ("Agreement") is made between *{{Your Business Name}}* ("Company", "Coach", "Consultant", "we", "us") and the *Client* ("you"). By purchasing or participating in our coaching or consulting services, you agree to the terms below.

1. Nature of Services

Our coaching and consulting services include:

  • 1:1 coaching sessions

  • Group coaching programs

  • Business strategy consultations

  • Marketing or operational advisory

  • AI/GPT product guidance

  • Digital transformation consulting

These services are *educational, developmental, and strategic* in nature.

We do *NOT* provide:

  • Medical, psychological, or therapeutic counseling

  • Legal or tax advice

  • Financial investment guidance

2. Responsibilities of the Coach/Consultant

We agree to:

  • Deliver sessions professionally and ethically

  • Maintain confidentiality as outlined in this Agreement

  • Provide tools, guidance, and recommendations to support your goals

  • Show up prepared and on time for scheduled sessions

We *do not guarantee results* or specific outcomes.

3. Client Responsibilities

You agree to:

  • Attend scheduled sessions on time

  • Participate actively and honestly

  • Complete tasks or action steps assigned

  • Communicate any concerns during the engagement

  • Use recommendations and materials ethically and legally

  • Be responsible for your own decisions and actions

4. Confidentiality

  • All personal and business information shared during sessions will remain confidential, except:

  • Where required by law

  • If there is risk of harm to yourself or others

  • When technological systems (email, AI tools, cloud platforms) are involved and cannot guarantee 100% security

​

5. Session Scheduling & Communication

  • Sessions must be scheduled through the official booking link or communication channel.

  • Sessions start and end at the agreed time.

  • Communication between sessions (if included) may occur via email, WhatsApp, or other specified channels.

6. Rescheduling & Missed Sessions

  • Sessions may be rescheduled with *at least 24 hours’ notice*.

  • Late cancellations or no-shows are considered *forfeited sessions*.

  • No refunds or credits are given for missed sessions.

​

7. Payments & Fees

  • All payments must be made in full or according to an agreed payment plan.

  • Payment plans must be completed in full.

  • Failure to complete payments may result in removal from programs or revocation of access.

  • All fees are *non-refundable*, as stated in the Refund & Cancellation Policy.

8. No Guarantees

We do not guarantee:

  • Revenue growth

  • Business success

  • Career transformation

  • Mental, emotional, or physical outcomes

  • Any particular result from coaching or consulting

You acknowledge that outcomes depend on your effort, decisions, and external factors.

9. Intellectual Property

All materials provided (templates, workbooks, strategies, GPT prompts, frameworks, videos, AI tools) are owned by Venkat Murthy.

You *may not*:

  • Copy

  • Sell

  • Distribute

  • Give away

  • Claim as your own

  • Reverse-engineer AI tools or frameworks

unless express written permission is given.

10. AI/GPT Tool Use (If Provided)

If you receive access to AI tools, GPT prompts, or automation systems:

  • You understand outputs may not be accurate

  • You are responsible for verifying AI-generated content

  • You will not input sensitive or confidential information unless necessary

  • Access may be revoked if misused

​

11. Termination of Agreement

We may terminate the agreement if:

  • You violate the terms

  • You act disrespectfully or abusively

  • You misuse coaching/consulting materials

You may terminate participation at any time, but no refunds will be issued.

12. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for any losses, damages, or adverse outcomes

  • You accept full responsibility for your decisions and results

  • Our total liability shall not exceed the amount you paid

​

13. Governing Law

This Agreement is governed by the laws of India. Any disputes will be handled in the courts.

​

14. Agreement Acceptance

By purchasing or participating in coaching or consulting services, you acknowledge that:

  • You have read and understood this Agreement

  • You agree to all terms and conditions

  • You are entering this Agreement voluntarily
